Welcome to the Terms of Service (the “Terms”) for JBL Global Charters Inc., a Wyoming corporation doing business as FlyJBL (for purposes of these Terms, “FlyJBL,” “Company,” “we,” “our,” and “us”). Please read on to learn the rules and restrictions that govern your use of our website, applications, and all services that reference these Terms (collectively, the “Services”).

These Terms govern your use of the Services and provide information about the Services. Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect for so long as you access our Services, use or retain any content from our Services, and until any disputes arising from such use, access, or retention receive final resolution. These Terms include the provisions in this document as well as those in the Privacy Policy.

Your use of the Services may be subject to additional policies, rules, instructions, and/or conditions (“Additional Terms”) such as our Private Client Group Terms, Shared Charter Terms, or Charter Terms and Conditions that will be displayed or linked to when the applicable service is accessed and which are incorporated herein by reference. To the extent that any Additional Terms conflict with these Terms, the Additional Terms will control.

Please read these Terms carefully. They cover important information about the Services provided to you. These Terms include information about future changes to these Terms, limitations of liability, a class action waiver, and resolution of disputes by arbitration instead of in court.

PLEASE NOTE THAT YOUR USE OF AND ACCESS TO OUR SERVICES IS SUBJECT TO THE FOLLOWING TERMS; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.

ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION AGREEMENT SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

What is FlyJBL and How Do the Services Work

FlyJBL provides private aviation advisory services, charter brokerage, shared charter organization, and private aviation coordination. Through our network of vetted FAA Part 135 certificated operators, we provide our customers the ability to fly privately to nearly anywhere they might want to go. Through the Services, you can request on-demand chartered aircraft, participate in shared charter programs, or apply for the FlyJBL Private Client Group.

FlyJBL is not a direct air carrier and does not operate aircraft. All flights are operated by licensed FAA Part 135 air carriers or foreign equivalent operators exercising full operational control. When you book a flight through us, the flight will be operated by an independent chartered aircraft provider in our network, and the provider may require you to enter into such provider’s terms and conditions, which are separate from these Terms.

Without limiting the generality of any other term or condition of these Terms, you understand that we are not a party to any agreements or understandings between you and any such operator and that any recourse you may have regarding flight operations is solely against the operator and not against us.

We may offer various other services from time to time, including, without limitation, ground transportation coordination, concierge services, and curated travel experiences. We will coordinate such services and handle pricing and payment, but the performance of such services will be subject to such service provider’s terms.

Changes to Terms

We are constantly trying to improve our Services, so these Terms may need to change along with our Services. We reserve the right to change the Terms at any time, but if we do, we will place a notice on our site located at www.flyjbl.com, send you an email, and/or notify you by some other means.

If you don’t agree with the new Terms, you are free to reject them; unfortunately, that means you will no longer be able to use the Services. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes.

Except for changes by us as described here, no other amendment or modification of these Terms will be effective unless in writing and signed by both you and us.

Data Privacy

Children’s Privacy

Our Services are not intended for individuals under 18 years of age. We do not knowingly collect or solicit personally identifiable information from children under 18 years of age; if you are under 18, do not attempt to register for or otherwise use the Services or send us any personal information. Any such attempt shall be considered a violation of our Privacy Policy and Terms of Service. By signing up for an account or subscription with us or otherwise using our Services, you acknowledge you are over the age of 18 and are permitted to use our Services in accordance with our Privacy Policy and Terms of Service. If we learn we have collected personal information from a child under 18 years of age, we will delete that information as quickly as practical and without undue delay. If you believe that a child under 18 may have provided us personal information, please contact us at support@flyjbl.com.

Using Our Services

You represent and warrant that you are an individual of legal age to form a binding contract (at least 18 years old). If you’re agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization’s or entity’s behalf and bind them to these Terms (in which case, the references to “you” and “your” in these Terms, except for in this sentence, refer to that organization or entity).

You shall use the Services for your own personal, non-commercial use, or for commercial use by your business entity, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you. If your use of the Services is prohibited by applicable laws, then you aren’t authorized to use the Services. We can’t and won’t be responsible for your using the Services in a way that breaks the law.

User Account, Password, and Security

Users have the option of creating an account with FlyJBL to access certain features and content of our Services. Once you become a user and establish an account with us, you shall receive a password and an account. You must keep your account and password confidential, and are entirely responsible if you do not maintain the confidentiality of your password and account. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Services or portions of it using your username, password, or other security information.

Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to immediately notify FlyJBL of any unauthorized use of your account or any other breach of security known to you. We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time at our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

SMS / Text Messaging

FlyJBL offers SMS text messaging as part of its Services. By providing your mobile phone number and opting in, you consent to receive text messages from FlyJBL, including:

  • Transactional messages – flight confirmations, booking updates, schedule changes, and other information related to your charter or membership.
  • Promotional messages – special offers, program announcements, and marketing communications related to FlyJBL services.

Message Frequency: Message frequency varies based on your activity and preferences.

Message and Data Rates May Apply. Standard message and data rates from your wireless carrier may apply to all SMS messages sent and received.

How to Opt Out: To stop receiving SMS messages from FlyJBL, reply STOP to any text message we send you. You will receive a single confirmation message and will not receive further messages. You may opt back in at any time by texting START or by contacting us directly.

Privacy: Your mobile number and SMS consent will not be shared with or sold to third parties for their marketing purposes. Consent is not a condition of purchase. For full details, see our Privacy Policy.

Bookings & Payments

Bookings are subject to aircraft availability, operator acceptance, operational limitations, and regulatory approvals. Payments may include deposits, escrow payments, charter fees, and operational charges. Pricing may change until confirmed in writing by FlyJBL.

All payments for our Services or other transactions formed through the Services are processed and governed through third-party payment processors including Stripe, ACH processors, wire transfer institutions, escrow providers, and banking partners. FlyJBL does not store full payment card information directly on its servers unless expressly disclosed.

Shared Charter Services

FlyJBL may organize shared charter flights pursuant to applicable FAA Part 380 regulations. Part 380 shared charter offerings may require minimum participation, remain subject to operational viability, and be modified or canceled based on operational requirements. Escrow protections may apply where legally required.

All shared charter services are arranged through FlyJBL and operated by licensed FAA Part 135 operators exercising full operational control. FlyJBL acts as the organizer and coordinator of shared charter programs but does not operate the aircraft.

FlyJBL Private Client Group Terms

The FlyJBL Private Client Group is an application-based private aviation advisory and networking membership. Membership may include aviation advisory support, preferred access opportunities, concierge coordination, curated shared charter access, private events, and partner experiences.

Membership approval is discretionary. FlyJBL reserves the right to deny applications, revoke membership, suspend access, and modify benefits at any time and for any reason.

Membership does not guarantee aircraft availability, pricing, specific operators, or event access. Members are expected to maintain professional conduct, confidentiality, and lawful behavior at all times.

Membership fees, where applicable, are generally non-refundable and non-transferable.

Cancellations & Refunds

Refunds are governed by operator agreements, shared charter terms, escrow requirements, and operational status. Generally:

  • Deposits may become non-refundable once aircraft is secured.
  • Confirmed shared charter seats may become non-refundable.
  • Credits may be issued at FlyJBL’s discretion.
  • Private Client Group memberships are generally non-refundable and non-transferable.

Specific cancellation policies will be communicated at the time of booking or membership enrollment and may vary by service type, operator, and route.

Operator Substitutions

FlyJBL reserves the right to substitute aircraft, substitute operators, modify schedules, adjust departure airports, and modify routing as necessary for safety, operational, or logistical reasons. FlyJBL will make commercially reasonable efforts to notify passengers of material changes in advance.

Passenger Responsibilities

Passengers are responsible for:

  • Valid identification and travel documentation
  • Visas and entry permits for destination countries
  • Customs and immigration compliance
  • Pet documentation and health certificates (where applicable)
  • Health documentation as required by operators or authorities
  • Lawful conduct at all times
  • Arriving on time for scheduled departures
  • Complying with security procedures and crew instructions

Operators retain final authority regarding safety, baggage, pets, passenger conduct, and aircraft substitutions. Operators may deny boarding for safety, legal, or operational reasons. Hazardous materials are prohibited aboard all flights.

Use Restrictions & Prohibited Conduct

You represent, warrant, and agree that you will not provide or contribute anything, including any Content (as defined below), to the Services, or otherwise use or interact with the Services, in a manner that:

  • Infringes or violates the intellectual property rights or any other rights of anyone else (including FlyJBL)
  • Violates any law or regulation, including, without limitation, any applicable export control laws or privacy laws
  • Is dangerous, harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable
  • Attempts, in any manner, to obtain the password, account, or other security information from any other user
  • Violates the security of any computer network, or cracks any passwords or security encryption codes
  • Runs any form of auto-responder or “spam” on the Services, or any processes that interfere with the proper working of the Services
  • “Crawls,” “scrapes,” or “spiders” any page, data, or portion of the Services or Content
  • Copies or stores any significant portion of the Content
  • Decompiles, reverse engineers, or otherwise attempts to obtain the source code of the Services

Additionally, users may not transport prohibited items, engage in unlawful activity, interfere with crew, damage aircraft, or provide false information. A violation of any of the foregoing is grounds for termination of your right to use or access the Services.

Content & Intellectual Property

The materials displayed or performed or available on or through the Services, including, but not limited to, text, graphics, data, articles, photos, images, illustrations, and so forth (all of the foregoing, the “Content”) are protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services.

Subject to these Terms, we grant each user of the Services a worldwide, non-exclusive, non-sublicensable and non-transferable license to use (i.e., to download and display locally) Content solely for purposes of using the Services. Use, reproduction, modification, distribution or storage of any Content for any purpose other than using the Services is expressly prohibited without prior written permission from us.

You understand that FlyJBL owns the Services. You shall not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, or otherwise exploit any of the Services.

FlyJBL does not claim ownership of the Content or links you place on your FlyJBL account. FlyJBL may quote or reproduce your Content (if you have made it public), in whole or in part, in order to promote the FlyJBL Services.

Third-Party Content & Services

The Services may contain links or connections to third-party websites or services that are not owned or controlled by FlyJBL. When you access third-party websites or use third-party services, you accept that there are risks in doing so, and that FlyJBL is not responsible for such risks.

FlyJBL has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third-party website or by any third party that you interact with through the Services. We encourage you to be aware when you leave the Services and to read the terms and conditions and privacy policy of each third-party website or service that you visit or utilize.

Your interactions with organizations and/or individuals found on or through the Services, including delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals.

Force Majeure

FlyJBL shall not be liable for delays, cancellations, substitutions, or failures caused by circumstances beyond reasonable control, including but not limited to:

  • Weather conditions
  • Air traffic control restrictions
  • Mechanical issues
  • Operator availability
  • Labor disputes
  • Geopolitical events or terrorism
  • Pandemics or public health emergencies
  • Customs, immigration, or TSA/security actions
  • Government orders or regulatory requirements
  • Acts of God or other events beyond reasonable control

Change of Services

We’re always trying to improve our Services, so they may change over time. We may suspend or discontinue any part of the Services, or we may introduce new features or impose limits on certain features or restrict access to parts or all of the Services. We’ll try to give you notice when we make a material change to the Services that would adversely affect you, but this isn’t always practical. We reserve the right to remove any Content from the Services at any time, for any reason, in our sole discretion, and without notice.

Warranty Disclaimer

FlyJBL and its licensors, suppliers, partners, parent, subsidiaries or affiliated entities, and each of their respective officers, directors, members, employees, consultants, contract employees, representatives and agents, and each of their respective successors and assigns (FlyJBL and all such parties together, the “FlyJBL Parties”) make no representations or warranties concerning the Services, including without limitation regarding any Content contained in or accessed through the Services, and the FlyJBL Parties will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Services.

THE SERVICES AND CONTENT ARE PROVIDED BY FLYJBL (AND ITS LICENSORS AND SUPPLIERS) ON AN “AS-IS” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL ANY OF THE FLYJBL PARTIES BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR: (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, (B) ANY SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY, (C) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE AMOUNTS PAID AND/OR PAYABLE BY YOU TO FLYJBL IN CONNECTION WITH THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THE APPLICABLE CLAIM, OR (D) ANY MATTER BEYOND OUR REASONABLE CONTROL, INCLUDING WITHOUT LIMITATION ANY LOSSES OR LIABILITIES OF ANY KIND THAT MAY ARISE IN CONNECTION WITH YOUR RELATIONSHIP WITH ANY CHARTERED AIRCRAFT PROVIDER OR OPERATOR TO WHOM YOU ARE INTRODUCED THROUGH FLYJBL OR THE SERVICES OR ANY PRODUCTS OR SERVICES PROVIDED TO YOU (OR NOT PROVIDED TO YOU) BY ANY THIRD PARTY.

To the fullest extent permitted by law, liability shall not exceed amounts paid directly to FlyJBL for the applicable service. Some states do not allow the exclusion or limitation of incidental or consequential or certain other damages, so the above limitation and exclusions may not apply to you.

Indemnity

You agree to indemnify and hold the FlyJBL Parties harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any claims relating to (a) your use of the Services, (b) your violation of these Terms, and (c) your interactions with any operator, service provider, or third party introduced through the Services. In the event of such a claim, suit, or action (“Claim”), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

Arbitration Agreement

Please read the following ARBITRATION AGREEMENT carefully because it requires you to arbitrate certain disputes and claims with FlyJBL and limits the manner in which you can seek relief from FlyJBL.

(a) Arbitration Rules; Applicability

The parties shall use their best efforts to settle any dispute, claim, question, or disagreement arising out of or relating to the subject matter of these Terms directly through good-faith negotiations, which shall be a precondition to either party initiating arbitration. If such negotiations do not resolve the dispute, it shall be finally settled by binding arbitration in Sheridan County, Wyoming. The arbitration will proceed in the English language, in accordance with the JAMS Streamlined Arbitration Rules and Procedures (the “Rules”) then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes. If JAMS determines the Streamlined Rules do not apply, then the then-operative JAMS Comprehensive Arbitration Rules and Procedures will govern. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction.

(b) Costs of Arbitration

The Rules will govern payment of all arbitration fees. FlyJBL will not seek its attorneys’ fees and costs in arbitration unless the arbitrator determines that your claim is frivolous.

(c) Small Claims Court; Infringement

Either you or FlyJBL may assert claims, if they qualify, in small claims court in Sheridan County, Wyoming or any United States county where you live or work. Furthermore, notwithstanding the foregoing obligation to arbitrate disputes, each party shall have the right to pursue injunctive or other equitable relief at any time, from any court of competent jurisdiction, to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights.

(d) Waiver of Jury Trial

YOU AND FLYJBL WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY. You and FlyJBL are instead choosing to have claims and disputes resolved by arbitration. In any litigation between you and FlyJBL over whether to vacate or enforce an arbitration award, YOU AND FLYJBL WAIVE ALL RIGHTS TO A JURY TRIAL.

(e) Waiver of Class or Consolidated Actions

ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. If however, this waiver of class or consolidated actions is deemed invalid or unenforceable, neither you nor FlyJBL is entitled to arbitration; instead all claims and disputes will be resolved in a court as set forth in (g) below.

(f) Opt-out

You have the right to opt out of the provisions of this Section by sending written notice of your decision to opt out to: JBL Global Charters Inc., 30 N Gould St Ste N, Sheridan, WY 82801, postmarked within thirty (30) days of first accepting these Terms. You must include (i) your name and residence address, (ii) the email address and/or telephone number associated with your account, and (iii) a clear statement that you want to opt out of these Terms’ arbitration agreement.

(g) Exclusive Venue

If you send the opt-out notice in (f), and/or in any circumstances where the foregoing arbitration agreement permits either you or FlyJBL to litigate any dispute arising out of or relating to the subject matter of these Terms in court, then both you and FlyJBL agree that any judicial proceeding (other than small claims actions) will be brought in the state or federal courts located in Sheridan County, Wyoming, or the federal district in which that county falls.

(h) Severability

If the prohibition against class actions and other claims brought on behalf of third parties contained above is found to be unenforceable, then all of the preceding language in this Arbitration Agreement section will be null and void. This arbitration agreement will survive the termination of your relationship with FlyJBL.

Termination

You may stop using our Services at any time; please refer to our Privacy Policy, as well as the licenses above, to understand how we treat information you provide to us after you have stopped using our Services.

FlyJBL is also free to terminate (or suspend access to) your use of the Services for any reason in our discretion, including your breach of these Terms. FlyJBL has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms.

Provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us, including without limitation the arbitration agreement.

Miscellaneous

Governing Law

These Terms are governed by and will be construed under the Federal Arbitration Act, applicable federal law, and the laws of the State of Wyoming, without regard to the conflicts of laws provisions thereof.

Assignment

You may not assign, delegate or transfer these Terms or your rights or obligations hereunder, or your Services account, in any way (by operation of law or otherwise) without FlyJBL’s prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.

Taxes

You will be responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Services, provided that FlyJBL may, in its sole discretion, do any of the foregoing on your behalf or for itself as it sees fit.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable.

Entire Agreement

You and FlyJBL agree that these Terms are the complete and exclusive statement of the mutual understanding between you and FlyJBL, and that these Terms supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms. You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venture of FlyJBL, and you do not have any authority of any kind to bind FlyJBL in any respect whatsoever.

Notice of Infringement

We respect the intellectual property rights of others and prohibit our users from using our Services in a manner that violates those rights. Under the U.S. Digital Millennium Copyright Act, copyright owners can file a complaint where they believe materials infringe on their copyright. If you believe that your intellectual property right is infringed by any Content on this website, please contact us using the information in the “How to Contact Us” section below.

Disclaimer about Information Accuracy

Although every effort has been made to provide complete and accurate information, FlyJBL makes no warranties, express or implied, or representations as to the accuracy of the content on the Services. FlyJBL assumes no liability or responsibility for any error or omissions in the information contained in the Services or the operation of the Services.
